09 — Terms

The terms you order on.

These are the conditions every order placed on this site is accepted under. They are written to be read once, before you order, rather than produced afterwards in an argument: what we sell, who we sell it to, when a contract is actually formed, what you pay and when, and what the material may and may not be used for. Nothing here is supplied for human or veterinary use.

The terms in force are the ones published here on the day an order is placed. They are not applied retrospectively to an order GpharmaBio has already confirmed.

Who you are contracting with

One company,
and no intermediary.

The company that synthesises the material, releases the lot, raises the invoice and packs the box is the same company you are contracting with. There is no distributor between us and no agent authorised to vary these terms on our behalf. A term is varied by GpharmaBio in writing, on the order, or it is not varied at all.

These conditions apply to the exclusion of anything printed on your own purchase order. Where your organisation requires its own terms, send them to GpharmaBio before you order and we will either agree them in writing or tell you we cannot — a conflicting set of terms attached to a payment is not an agreement either of us can rely on.

Who may order

Five things you
confirm by ordering.

Confirming an order is a statement that each of these is true. If one of them is not, do not place the order — tell GpharmaBio what you need and we will say plainly whether we can supply it.

You are ordering for a research organisation, a laboratory, an educational institution or a business, and not as a consumer. Statutory consumer rights, including the fourteen-day right of withdrawal, do not apply to a business sale and are not offered here.

You are aged 18 or over. GpharmaBio will not process an order it has reason to believe was placed by anyone younger.

You are competent to handle research chemicals, or the material is going to somebody who is. Receipt, storage and handling on your own premises are yours from the moment the carrier hands the parcel over.

You are not buying for human or veterinary administration, for resale as a medicine, food, supplement or cosmetic, or for repackaging into any of those.

The destination is one we may lawfully ship to, and any import permit, licence or registration the destination requires is held by you before the order is placed.

How an order becomes a contract

You hold the document from the first click.

Most sites issue an invoice once somebody in an office has been through it. This one issues it immediately and marks on its face which parts are still ours to fill in, because an approval sitting in an inbox for a week helps nobody. Here is exactly what happens, and where the contract is formed.

You build a basket

Everything you add sits in your own browser and is priced on every render against the current catalogue. Nothing is reserved, nothing is charged, and no line is an offer capable of acceptance — a basket left open overnight re-prices itself rather than holding a figure we no longer stand behind.

You confirm the order

Confirming freezes the basket into an order document under its own reference, files it with GpharmaBio and opens the same lines as a message on WhatsApp. That is your offer to buy on these terms, at the totals shown, in the currency you picked at the checkout.

A proforma is issued immediately

You are handed your own copy of the proforma invoice at a private link the moment you confirm. It is honest about what is still open: lots are not allocated yet, and anything the rate card cannot price is marked as pending rather than guessed at.

GpharmaBio confirms it

We check stock, allocate the lot numbers, price any carriage the rate card leaves open and correct anything that needs correcting. Acceptance of your order happens here and nowhere earlier — a contract is formed when GpharmaBio releases the confirmed document, not when you confirmed the basket.

The same link goes final

The document at your link reads as final — the lots allocated, the carriage priced — and we write to the number on the order to tell you to look again. The account details for settlement are on the document itself; they never travel over chat.

If we cannot supply

We may decline an order, in whole or in part, before it is confirmed — a lot that will not release, a destination we cannot lawfully ship to, or an order we have reason to believe is not for research. Where that happens GpharmaBio says so and nothing is charged. A proforma issued before we have confirmed it is not a demand for payment, and paying against one does not oblige us to accept the order; anything already received for goods we decline is returned in full.

Prices, currency and carriage

The figure you confirmed is the figure we invoice.

You pick the currency you are settling in at the checkout, and it is fixed on the document from that point — it is not re-struck afterwards, because re-striking a currency changes a document somebody has already agreed to. Carriage is added to the goods before the total due, and it is read off a published rate card rather than estimated.

Goods are struck outright in Euros, US dollars and Pounds Sterling. Any other currency on the checkout list is that euro figure converted at the published reference rate and rounded to its own minor unit at the moment it is struck, before anything is multiplied or totalled — so the lines, the carriage and the total due on your proforma add up exactly as printed. The rate is the one the trade sheet itself is derived at, and the figure is fixed on the document when you confirm. Carriage is never an estimate in any currency: those same three have a charge published for them below, and every other settlement currency is carried on the destination card, which is struck in Pounds Sterling and banded by where the parcel is actually going.

Sealed vial packs

One flat charge per parcel, read off the currency you are settling in and covering the parcel up to 2 kg. Where you settle in one of the three below, the destination prices nothing.

Ready-filled pens

A parcel of pens and nothing else is carried on its own rate, read off the currency you are settling in exactly as the card beside it. The first pen carries the parcel and every pen after it is charged at what it adds, which is why the second one costs less than the first.

Each figure is struck in the currency it is quoted for, so the postage on your order is the figure printed here and not a conversion of one. Settling in anything else puts the parcel on the destination card below.

Carried free, and priced by hand

Goods reaching the threshold below — read against the goods before carriage, in the currency you are settling in — are carried free on any card, to any destination.

A parcel over 2 kg — the band every card on this page stops at — that has not reached the threshold carries no figure on the checkout at all. It is marked as quoted by GpharmaBio, priced by the office, and put on the document before it is confirmed — we would rather show you a blank than a guess you are about to approve.

The destination card

Settling in a currency we do not publish a charge in puts your parcel on the courier's own tracked rate, banded by where it is going and by what it weighs — a kilogramme, then up to 2 kg. This is the one place the delivery country prices anything: a band is what a currency cannot tell us, since Ireland and the rest of the eurozone settle in the same money and are carried at different rates.

Every figure below is struck in Pounds Sterling and converted into the currency you are settling in at the published reference rate, on the document, before anything is totalled. A destination we have not named is carried at the rest-of-world rate — there is no unpriced destination and no postage line left blank because of one.

Taxes and duty

Prices are exclusive of value added tax, which is applied where it is due. Supplies within Germany carry German VAT; an intra-Community supply to a business holding a valid VAT identification number is zero-rated against that number, and an export outside the European Union is zero-rated against the export evidence. Import duty, import VAT and any customs clearance charge at the destination are the buyer's.

Errors

A price published in obvious error is not a price we are bound by. Where one is confirmed before we catch it, GpharmaBio tells you what the figure should have been and you may either accept the corrected document or cancel the order for nothing — neither of us is committed until GpharmaBio confirms the document.

Quotations

The vial catalogue does not sell from the page: it qualifies a lot, and a vial requirement is quoted by GpharmaBio. A quotation holds for thirty days unless it says otherwise, and the rates printed on a proforma are held for twenty-four hours.

Payment

Paid in advance,
against a document.

Orders are settled in advance on a proforma invoice. Nothing is charged before that document is in front of you. The receiving account is printed on the document — GpharmaBio will never send you account details in a chat message, and any that reach you by another route are not ours — and you must quote the invoice number as the payment reference or GpharmaBio cannot match the money to the order.

When goods are released

Cleared funds release the order to the picking bench. A payment in transit is not cleared funds, and a screenshot of one is not either — GpharmaBio works from what has landed.

Charges and short payment

Send the invoiced figure in the invoiced currency. Bank charges and correspondent-bank deductions are the sender's, so a transfer that arrives short leaves the balance outstanding and the order waits on it. Where an invoice is agreed on credit terms rather than in advance, statutory default interest applies to anything unpaid at the due date.

Delivery, title and risk

Where responsibility passes across.

The cut-off, the carriers, the transit each destination ordinarily runs to and what to do about a parcel that has not arrived are set out on the shipping policy. What follows is the part of it that is contractual.

Dispatch and dates

Stock lines are picked the working day after funds clear, and the same-day cut-off is 14:45 CET. Any date GpharmaBio gives you is an estimate made in good faith and is not of the essence: a lot that fails its release test does not ship, and we would rather tell you that than send it. Where a delay runs past fourteen days you may cancel whatever has not been dispatched and have that part refunded in full.

Risk

Risk in the goods passes to you when the carrier delivers to the address on the order, or to whoever accepts the parcel there. Cold-chain parcels are packed for the transit the destination requires; once delivered, storage is yours, and material left at ambient temperature on a receiving dock is no longer material we can stand behind.

Title

Title stays with us until the invoice is paid in full, cleared and unconditional — a retention of title in the ordinary German form. Until then the goods are held on our behalf, are to be stored so that they remain identifiable as ours, and are not to be pledged or assigned as security.

Customs and the destination

Shipments are declared honestly under their proper description and customs code. We will not under-declare a value, mislabel a consignment or describe research material as something else, whatever the reason offered. Clearance in the destination country, including any permit or licence it requires, is yours; a parcel refused, seized or destroyed by an authority because a required permit was not held is not refundable.

Shortages and damage

Check the parcel on arrival. A shortage, a breakage or a cold pack that arrived warm must reach GpharmaBio within 72 hours of the expected delivery date, with the lot number, the order reference and a photograph of the parcel as received — the same window, and the same address, as a parcel that is delayed or has not arrived at all. Inside it we replace or refund at our option, and the claim is dealt with on the merits rather than on the paperwork.

Returns

Goods correctly supplied are not returnable. Peptides are cold-chain material whose handling we cannot verify once they leave, and a vial that has been out of our custody cannot be released to anybody else — a restocking policy that pretended otherwise would put an unverifiable lot back into the catalogue. Anything sent in error, damaged, or not to its certificate is a different matter and comes back at our cost: contact GpharmaBio before returning anything, and do not send material back unannounced.

Specification and warranty

The certificate is the specification.

Every lot releases against a certificate of analysis, published before you order and carrying its own lot number and security code. That document, and not a line of copy anywhere on this site, is what the goods are warranted to be.

What we warrant

The material supplied is the sequence named on the certificate, released against the assays printed on it, at or above the purity that certificate states.
Every lot is released with a certificate of analysis carrying its own lot number and security code, and that certificate is the specification for the goods.
Goods leave here correctly identified, sealed and packed for the transit conditions on the order, with the cold chain the parcel requires.
The quantity on the consignment note is the quantity that was picked, and a shortage found on arrival is ours to answer for.

What we do not warrant

That the material is fit for any particular experiment, protocol, assay or downstream purpose. Suitability is yours to establish — we publish the analytics so that you can.
That results obtained in your hands will match ours. Handling, reconstitution, storage and the assay itself are outside anything we control.
That the goods are of pharmaceutical grade, or that they may be administered to a human or an animal. They are neither approved nor intended for that, on any lot.
Anything at all about material we did not supply, or about a lot after it has been opened, decanted, repackaged, relabelled or passed on.

A claim that goods are not to specification is answered by analysis, not by argument: send the lot number and the security code from the certificate, tell us what you measured and how, and the analytics laboratory re-reads the retained sample. Where the retain confirms the complaint we replace the lot or refund it in full, including the carriage both ways. Statutory rights in respect of defects are unaffected by anything in this section.

Use, control and liability

What the material may be used for.

Permitted use

Everything supplied is for laboratory research use only, in vitro and by qualified personnel. It is not a drug, a food, a cosmetic or a medical device, and it is not for human or veterinary consumption, diagnostic use or therapeutic use. You undertake not to administer it to a person or an animal, not to resell or repackage it for any of those purposes, and not to describe it to anybody else in terms we do not use ourselves. A breach of this clause ends the contract immediately and is the one thing that puts the whole of the loss on the buyer.

Export control and screening

Orders are screened against the applicable sanctions and export-control regimes before release. We do not supply to a sanctioned party or destination, and we do not supply where GpharmaBio has reason to believe the material is for an end use it should not be put to. The buyer is responsible for any onward transfer complying with the same regimes. Where an order is stopped by screening GpharmaBio says so and refunds anything already received.

Liability

Our liability for a defective supply is capped at the invoiced value of the goods it relates to, and we are not liable for loss of profit, loss of data, wasted experimental time, downstream work built on the material, or any indirect or consequential loss. Nothing here limits liability for death or personal injury caused by negligence, for fraud, for intent or gross negligence, for a guarantee we have expressly given, or under the German Product Liability Act — those cannot be limited and are not.

Governing law and changes

German law,
and one forum.

These conditions and any contract formed under them are governed by the law of the Federal Republic of Germany, to the exclusion of the United Nations Convention on Contracts for the International Sale of Goods. The place of performance is Freiburg, Germany, and the courts there have exclusive jurisdiction over any dispute with a business buyer.

If a clause here is held to be unenforceable, the rest of them stand and the clause is read down to the extent that makes it enforceable rather than struck out entirely. Our not enforcing a term on one occasion is not a waiver of it on the next. Neither of us is liable for a failure caused by something genuinely outside our control — a border closure, a carrier failure or an interrupted supply of starting material — and where that runs on past thirty days either of us may cancel what has not been dispatched.

We update these terms as the business changes, and the date at the top moves when we do. An order already confirmed is governed by the terms in force on the day it was placed; we do not apply a change backwards. Where a change matters to an order in progress GpharmaBio writes to the address on that order rather than relying on you to re-read a page.
